User Agreement

The purpose of this user agreement (the “User Agreement”) is to define the terms and conditions for accessing the website located at https://www.turckbanner.fr and https://www.turckbanner.com/fr (the “Site”).

A user of the Site is any person connecting to the Site (the “User”). 

The Site is owned by Turck Banner SAS, registered with the Trade and Companies Register of Meaux under number 311 361 570 (“Turck Banner SAS”).

By accessing and using the Site, the Users are indicating their acceptance of and agreement to be bound by this User Agreement. 

The User Agreement is supplemented by the “General Terms and Conditions of Sale” and the “Privacy Statement” of Turck Banner SAS. [NJP2.1]

The User Agreement may be amended or updated from time to time and is effective immediately upon posting. Turck Banner SAS encourages Users to visit this page periodically to review this User Agreement. User’s continued use of the Site, subsequent to Turck Banner SAS’ modification of the User Agreement, shall constitute User´s acceptance of the modified User Agreement.

If any provision of this User Agreement shall be found to be invalid, illegal, or otherwise unenforceable, such finding shall not affect the other provisions of this User Agreement or the whole of this User Agreement, but such provision shall be deemed modified to the extent necessary to render such provision enforceable, and the rights and obligations of the parties shall be construed and enforced accordingly, preserving to the fullest permissible extent the intent and agreements set forth in this User Agreement.

The Site is available 24 hours a day, 7 days a week, except in the case of force majeure or any other event outside of Turck Banner SAS’ control.

However, Turck Banner SAS may decide to suspend access to all or part of the Site without prior warning to the User for technical maintenance or updates necessary to the proper functioning of the Site and related materials, or for any other reason.

Turck Banner SAS is under no obligation of result regarding the technical accessibility of the Site and makes no representations or warranties that the operation of the Site will be uninterrupted. 

Consequently, Turck Banner SAS is by no means responsible for the interruptions in accessibility or any resulting consequences.

Turck Banner SAS may also, at its discretion, modify, edit, suspend, restrict access to, or terminate the Site, the Content, or any link at any time without liability or prior notice. 

Turck Banner SAS may require Users to have a password and provide registration details to access the Site or portions of the Site. If Turck Banner SAS requires login credentials, it shall be a condition of use that the User provides correct, current and complete User information. If Turck Banner SAS believes that the information is not correct, current, or complete, Turck Banner SAS will have the right to suspend and/or terminate the User’s account. 

Users are responsible for maintaining the confidentiality of any login credentials and agree to notify Turck Banner SAS immediately, of any unauthorized use of User’s login credentials. 

All content, text, images, data, information and other material displayed, available or present on the Site (the “Content”), including any intellectual property rights in such Content (including without limitation trademarks and copyrights) or other intellectual property rights associated with the Site (the “Intellectual Property Rights”), are the property of Turck Banner SAS, its licensors, or designated owners and are protected by applicable intellectual property laws. 

Users should assume that everything User sees or reads on the Site is protected by intellectual property rights, unless otherwise noted, and may not be used without Turck Banner SAS’ written permission or the respective owner except as provided in this User Agreement.

Users may download and print copies of the Content for non-commercial, informational or personal use only, without modification or alteration, and only so long as User complies with this User Agreement and applicable law. 

Users may not otherwise reproduce, sell, publish, distribute, modify, display, or use any Content or portion of the Site without Turck Banner SAS’ prior written permission. Users will not infringe upon any Intellectual Property Rights or remove or modify related intellectual property and/or proprietary notices on the Site.

Turck Banner SAS makes no representations or warranties as to the Site or its accuracy. Turck Banner SAS assumes no liability or responsibility for any errors or omissions in the Content or operation of the Site. Although Turck Banner SAS strives to provide accurate and up-to-date pricing information, in the event a product is listed at an incorrect price due to a typographical error or lack of pricing update, Turck Banner SAS shall have the right to refuse or cancel any orders placed for products listed at the incorrect price. 

User’s use of the Site is at User’s sole risk. It is the responsibility of the User to ensure that the devices, software and network connections used are suitable for and meet the requirements for the use of the Site. Moreover, Turck Banner SAS does not guarantee that the Site (including any Content and links) will be free from virus or bugs.

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Turck Banner SAS disclaims all warranties, express or implied, of any kind, including, but not limited to, any express or implied warranties as to fitness for a particular purpose, merchantability, non-infringement, accuracy, completeness and compatibility.

This User Agreement, and any dispute arising in connection therewith shall be exclusively governed by and construed in accordance with the laws of France, without regard to its conflict of law principles. 

Any dispute arising out or in connection with this User Agreement or as a result or consequence thereof shall be subject to the exclusive jurisdiction of the commercial court of Meaux (Tribunal de commerce de Meaux).
